1. Acceptance of Terms
By accessing the website or engaging the services of Apex Agentics LLC ("Agency," "we," "us"), you ("Client") agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Services Provided
Apex Agentics LLC provides technical consulting, workflow automation, and software engineering services. The specific scope of work, deliverables, and timelines for each project will be outlined in a separate Statement of Work (SOW) or Proposal.
3. Intellectual Property (IP) Rights
Client Ownership: Upon full payment, the Client owns the specific workflows, configurations, and custom code developed specifically for the Client ("Deliverables").
Agency Background IP: The Agency retains ownership of its pre-existing code libraries, reusable components, and "know-how" used to create the Deliverables. The Agency grants the Client a perpetual, non-exclusive, royalty-free license to use this Background IP as part of the Deliverables.
No Resale: Unless explicitly agreed upon in writing, the Client may not resell, package, or white-label the Agency’s code or architecture as their own product.
4. AI & Third-Party Disclaimer
AI Accuracy: The Client acknowledges that Artificial Intelligence (AI) models are probabilistic and may produce errors ("hallucinations"), inaccuracies, or unexpected outputs. The Agency makes no guarantees regarding the accuracy or reliability of content generated by AI models.
Third-Party Dependencies: Our services often rely on third-party APIs and platforms (e.g., OpenAI, Supabase, N8N, Slack). The Agency is not liable for service interruptions, API changes, or pricing updates caused by these third-party providers.
5. Client Responsibilities
The Client agrees to:
Provide necessary access to accounts, API keys, and documentation required for the Agency to perform its duties.
Review all AI-generated content before it is published or sent to external parties (unless an "autonomous" workflow is explicitly requested and authorized).
Pay all invoices within the terms specified in the SOW (Standard Net-15 or Net-30).
6. Confidentiality
Both parties agree to keep all proprietary information, trade secrets, and business logic shared during the engagement strictly confidential. We will not share your data with other clients.
7. Limitation of Liability
To the maximum extent permitted by law, Apex Agentics LLC shall not be liable for any indirect, incidental, or consequential damages (including lost profits or data) arising from the use of our services. Our total liability is limited to the fees paid by the Client in the three (3) months preceding the claim.
8. Termination
Either party may terminate a service agreement with written notice as defined in the SOW. Upon termination, the Client must pay for all work completed up to the termination date.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina.
